These Terms of Service (“Terms”) govern your access to and use of the websites, software integrations, and other online products and services (collectively, the “Service”) provided by Medula Health, Inc. Eligibility
You must be at least 18 years old to use the Service. By agreeing to these Terms, you represent and warrant that you are at least 18 years of age and have the authority to enter into these Terms.
Use of the Service
You may use the Service only for lawful purposes and in accordance with these Terms. The Service is provided primarily to support healthcare providers and organizations. Patients may be able to access limited features if and when Medula Health introduces patient-facing services.
Accounts and Security
To access certain features of the Service, you may need to create an account. You are responsible for safeguarding your account credentials and for any activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.
User Content
You may provide information, documents, or other content through the Service (“User Content”). You retain ownership of your User Content, but grant Medula Health a non-exclusive, worldwide, royalty-free license to use, host, and process it as necessary to provide the Service.
Intellectual Property
The Service and all related content, features, and functionality (excluding User Content) are owned by Medula Health and its licensors, and are protected by intellectual property laws. You may not reproduce, distribute, or create derivative works without our prior written permission.
HIPAA and Data Privacy
Medula Health is not a healthcare provider or Covered Entity under HIPAA, but may act as a Business Associate. When acting as a Business Associate, we comply with HIPAA requirements and enter into Business Associate Agreements with Covered Entities as required.
Prohibited Conduct
You agree not to:
- Use the Service for any unlawful purpose;
- Interfere with or disrupt the Service;
- Attempt to gain unauthorized access to the Service or related systems;
- Transmit viruses, malware, or harmful code.
Disclaimers
The Service is provided on an “AS IS” and “AS AVAILABLE” basis, without warranties of any kind. Medula Health disclaims all warranties, express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.
Limitation of Liability
To the maximum extent permitted by law, Medula Health shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenues, data, or goodwill, arising out of or related to your use of the Service.
Indemnification
You agree to indemnify, defend, and hold harmless Medula Health and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or related to your use of the Service or violation of these Terms.
Termination
We may suspend or terminate your access to the Service at any time, with or without cause or notice, including if you violate these Terms. Upon termination, your right to use the Service will immediately cease.
Governing Law
These Terms are governed by and construed under the laws of the State of California, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in California.
Changes to Terms
We may update these Terms from time to time. If we make material changes, we will provide notice by updating the “Last Updated” date above and, in some cases, by providing additional notice. Your continued use of the Service after changes take effect constitutes your acceptance of the new Terms.
